Centerfolds Adult Model Release Agreement

Agreement made this __ day of ________, 20__ by and between Dashawn Enterprises, Inc., a Nevada corporation with an address at 888 W. Second St. #207, Reno NV 89503["CLV"] and _______________________ ["ENTERTAINER"].

WHEREAS, CLV is engaged in the electronic publication of an accurate and quality adult entertainer guide [the "Guide"] on the Internet through the URL www.centerfoldsofvegas.com [the "Web Site"]; and WHEREAS, ENTERTAINER conducts an adult entertainment service and desires to submit images and other information concerning herself/himself to CLV for the purpose of posting same on the Guide through the Web Site; and WHEREAS, CLV is willing to include ENTERTAINER'S images and content in the Guide and post same on the Web Site strictly upon the terms and conditions contained herein. NOW, THEREFORE, it is agreed as follows: 1. Posting. CLV will include images and content [collectively, the "Pictures"] provided by ENTERTAINER in the Guide and post same on the Web Site, provided that: (a) All Pictures supplied by ENTERTAINER have been produced in accordance with all applicable provisions of the Child Protection Restoration and Penalties Enhancement Act of 1990, as such act may be amended [the "Child Protection Act"]; (b) ENTERTAINER keeps all records required by the Child Protection act if appropriate or as requested by CLV. ENTERTAINER and all of the Pictures shall comply with all labeling and notice requirements of the Child Protection Act. It is the intent of ENTERTAINER and CLV that CLV shall serve as an exhibitor of the Pictures and therefore CLV shall not be required to comply with the labeling or record keeping requirements of the Child Protection Act. 2. Business Conduct. ENTERTAINER represents, warrants and assures CLV as follows with respect to the conduct and operation of her/his adult entertainment business: (a) That all activities in connection with the services that she/he provides her/his customers or patrons are within the requirements of the laws of the United States of America, and those of any state or municipality in which she/he may operate; (b) That any of the Pictures provided hereunder to CLV may be altered, displayed, and used free of charge for the purpose of advertisement; (c) That ENTERTAINER and all other individuals portrayed in the Pictures fully understand that the Pictures are to be used in relation to adult advertising/promoting, principally on the Internet; they also understand and agree that ENTERTAINER has entered into this Agreement under her/his own free will and not under the influence of drugs, alcohol, duress or any pretenses. 3. Representations, Warranties and Indemnity of ENTERTAINER. ENTERTAINER hereby further represents and warrants to CLV as follows: (a) ENTERTAINER is the sole and exclusive owner of (or controls) all rights in and to the Pictures which Pictures are wholly original and have not been copied in whole or in part from any other work, picture or source; the Pictures are neither fake nor "stock" photography; (b) The person(s) recorded in the Pictures was over the age of eighteen (18) years at the time the Pictures were recorded; (c) No claim has been made against ENTERTAINER and that ENTERTAINER knows of no claim that the Pictures infringe the copyrights or violate the rights in any other work and/or of any person, film, or corporation whatsoever. The Pictures are not in the public domain and enjoy and will enjoy, either statutory or (to the extent it may exist) common law copyright protection in the United States and all countries adhering to the Berne and Universal Copyright Conventions; (d) All obligations with respect to the Pictures, including but not limited to, all salaries, royalties, present and future license fees, service charges and the like, have heretofore been fully paid. The Pictures contain no libelous material and do not violate any laws in effect as of the date of this Agreement; and (e) ENTERTAINER shall defend, indemnify and hold harmless CLV, its successors and assigns, officers and directors, from and against any losses, damages, costs, charges, reasonable attorney's fees, recoveries, actions, judgments, penalties, expenses and other losses whatsoever which may be obtained against, imposed upon or suffered by CLV, its successors, assigns, officers and directors, by reason of the breach of any warranty, covenant, agreement or a misrepresentation made by ENTERTAINER hereunder. 4. Miscellaneous. Any dispute or claim arising under or with respect to this Agreement which is incapable of resolution will be resolved by arbitration before one (1) arbitrator in Reno, California in accordance with the Rules for Commercial Arbitration of the American Arbitration Association ["AAA"]. The appointing agency shall be the AAA. The decision or award of the arbitrator shall be final and binding upon the parties. Any arbitral award may be entered as a judgment or order in any court of competent jurisdiction. This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective heirs, personal representatives, successors and assigns. This Agreement may be executed in one or more counterpart copies. Each counterpart copy shall constitute an agreement and all of the counterpart copies shall constitute one fully executed agreement. This Agreement may be executed on facsimile counterparts. The signature of any party to any counterpart shall be deemed a signature to, and may be appended to, any other counterpart. The laws of the State of Nevada shall govern the interpretation, validity and enforcement of this Agreement. IN WITNESS WHEREOF, the Parties hereto have caused this Agreement to be executed the day and year first above written.
1 am ___ years old, and that I am of full legal age and have the right and ability to contract in my own name. I have read the above authorization, release, and agreement, prior to its execution, and I am fully familiar with the contents thereof. This release shall be binding upon me and my heirs, legal representatives, and assigns.
